NON-COMPETE AGREEMENT

NON-DISCLOSURE AND NON-COMPETE AGREEMENT

a) At all times while this agreement is in force and after its expiration or termination, customer, (hereinafter referred to as “Affiliate”), agrees to refrain from disclosing Livesotori’s, customer list, trade secrets, all other confidential material. Affiliate agrees to take reasonable security measures to prevent accidental disclosure and industrial espionage and to abide by the non-disclosure/noncompetition terms of this agreement. 

b) Affiliate agrees not to make use of research done in the course of work for Livesotori while employed by a competitor of Livesotori.

c) While this agreement is in force, Livesotori agrees to use its best efforts to provide a 2 day online workshop, online webinar, 1 on 1 sessions and the Earn While you learn program Livesotori agrees to compensate the affiliate as follows: 

1. 30% remuneration for every sale the affiliate makes on all products offered by the company

d) After expiration or termination of this agreement, affiliate agrees not to compete with Livesotori for a period of 1 year within the (territory) of (company) and location. This prohibition will not apply if this agreement is terminated because Livesotori violated the terms of this agreement. 

e) Competition means owning or working for a business of the following type: 

1. Developing an affiliate program similar to the EWYL

2. Utilizing the slogan: Let’s get it done

3. Creating a group named the winners/inner circle

4. Soliciting affiliates from the EWYL program

f) Affiliate agrees to pay liquidated damages in the amount of USD $20,000.00 for any violation of the covenant not to compete contained in subparagraph (b) of this paragraph.
